LETTER OF AGREEMENT
This
letter acknowledges acceptance by COMPANY NAME of the rate program described on the attached
rate-sheet and accessorial pages based upon the following terms and conditions.
1. You agree to meet and maintain the level of
business to which you have advised us and to which we have provided rates
for. Vanguard Freight Systems Limited discount programs are based on revenue, if
this minimum is not maintained rates will be reviewed and changed to the appropriate
level. Notification will be advised prior to the change.
2. Any hardware or software that has been provided
to the customer is under condition that business levels justify the use for
such equipment. If we feel as though the volume of business does not match
expectations or volumes decrease, we reserve the right to either remove such
equipment, increase rates to compensate the cost of such equipment, or, apply
a surcharge for the cost of such equipment.
3. All shipments made under this agreement will
be governed by the Conditions of Contract set forth on Vanguard Freight Systems Limited’
airbill and within the company's general terms
and conditions which are within the International Service Guide brochure.
4. Unless otherwise provided on the attached rate-sheets,
you agree to pay for all ancillary and accessorial charges for services rendered
in accordance with Vanguard Freight Systems Limited’ Service Guides and Tariffs.
5. This agreement is not transferable or assignable.
6.
You
agree to make payment to Vanguard Freight Systems Limited within 15 days of original
billing date.
7. Except as required by law, you agree to maintain
confidentiality of the provisions of this agreement. Failure to maintain this confidentiality may
result in cancellation of this agreement.
8. This agreement may be terminated by either
party upon five (5) days written notice to the other party in the event of
a material breach of any of the provisions of this agreement.
9. At any time during the term of this agreement,
if the UK Government imposes any new or additional tax on the transportation
of shipments by air, or should a substantial rise in the cost of fuel occur,
Vanguard Freight Systems Limited reserves the right to implement surcharges.
Acceptance
of this letter will indicate your endorsement of Vanguard Freight Systems Limited as primary international outbound carrier for your company and will
serve as your request for us to implement this program as soon as possible.
